Introduction

Easy Parent respects your privacy and is committed to protecting it through our compliance with this Privacy Policy (the “Policy“). This Policy should be read in conjunction with, and is incorporated into, the Easy Parent Terms of Use www.easyparentapp.com Capitalized, but undefined terms used in this Policy have the meaning assigned to those terms in the Easy Parent Terms of Use.

The Easy Parent App is a parental control app that provides parents integrated tools to control their child’s screen time and online activity.

This Policy describes how we collect, use, disclose, and protect data and information (together, “Data”) from users of both the child and parent versions of the App (i.e. the Subscribing User and their Child), and general public users of our Site www.easyparentapp.com

We will collect, use and disclose Data in accordance with this Policy, unless otherwise required by applicable law. We take reasonable steps to ensure that any Data we collect about you is adequate, relevant, not excessive, and used for limited purposes.

This Policy does not apply to information collected outside of the Easy Parent Services or by any third party, through any application or content (including advertising) that may link to or be accessible from or on the Site or App.

Please read this Policy carefully to understand our policies and practices for collecting, processing, and storing Data. If you do not agree with our policies and practices, your choice is not to use the Easy Parent Services. By accessing or using the Easy Parent Services, you indicate that you understand, accept, and consent to the practices described in this Policy.

Data We Collect and How We Collect It

The Data that can be collected by us through the use of the Easy Parent Services is as follows:

Information that you provide by filling in forms on our Site or App. This includes information provided at the time you register for an account with Easy Parent (“Registration Data”), and other information you may provide to us from time to time. Required Registration Data includes the Subscribing User’s name, phone number, physical address, and email address. The Subscribing User will also need to create a username and password in order to register for the Easy Parent Services. We collect the Subscribing User’s phone number in order to text an activation code. This code is sent to the Subscribing User’s phone only, and is then keyed in by that parent on both their and their child’s devices. Once this is done the devices may then be paired for the purposes of the Easy Parent Services.
Records and copies of your correspondence (including email addresses), if you contact us. We may also ask you for information when you report a problem with the Easy Parent Services.
Details of your visits to the Site or App including traffic data, location data, logs, and other communication data and the resources that you access and use on the Site or App.
Information about your device and Internet connection, including your IP address, operating system, browser type, the device’s unique device identifier, and mobile network information.
Your Content and information you enter into the App. A Subscribing User may provide information for us to transmit to a Covered Device. For example, if a task list or recurring timer for your Child is created, we collect the information you enter into that tool in order to transmit it to the relevant Covered Device through the Child App. Subscribing Users may also assign a name, nickname or photo to the Covered Device’s profile within the Parent App, at their discretion.
Information about your online activities over time and across third-party websites or other services.
Should you choose to enable location services on the Covered Device, the App installed on the Covered Device will collect real-time information about the location of the Covered Device. Location coordinates are shared with the paired Subscribing User through a web mapping service (such as Google Maps) to assist the parent in determining the location of their Child’s device, provided that there is an adequate internet connection on both the Parent Device and the Covered Device.
Content and information about Covered Devices and details about how the Subscribing User uses the App. In order to manage the usage of applications on the Covered Device, Easy Parent – with the consent of the Subscribing User, and on their behalf – will have access to, and be able to view, which applications are being used on the Covered Device, and when. This functionality is required, for instance, in order to deliver the reward system whereby a Child can earn a certain amount of “game time” on their device after completing a set amount of time on educational applications. By registering and subscribing to the Easy Parent Services, you, as the parent or legal guardian of each Child, consent to our collection and use of such Data for the purposes of delivering the Easy Parent Services and its functionality to you. Easy Parent will also monitor how the parent uses the App in order to improve our services.

The Data we collect includes statistical information and may include personal information. We may maintain such Data or associate it with personal information we collect in other ways, that you provide to us, or that we receive from third parties. This Data helps us to improve the Easy Parent Services, to gauge the effectiveness of our marketing, and to deliver a better and more personalized service, including by enabling us to:

Estimate our audience size and how you use the Easy Parent Services.
Store information about your preferences, allowing us to customize the Easy Parent Services according to your individual interests.
Recognize you when you return to the Site or App.

In order to gather this Data, we may use the following technologies to collect certain information about your equipment, browsing actions, device usage and patterns, including:

Cookies. Cookies are small text files that are placed on your computer to collect standard Internet log information and visitor behavior information. You may refuse to accept browser cookies by activating the appropriate setting on your browser. However, if you select this setting you may be unable to access certain parts of our Site. Unless you have adjusted your browser setting so that it will refuse cookies, our system will issue cookies when you direct your browser to our Site.
Flash Cookies. Certain features of our Site may use local stored objects (or Flash cookies) to collect and store information about your preferences and navigation to, from, and on our Site. Flash cookies are not managed by the same browser settings that are used for browser cookies. Web Beacons. Web beacons (also known as pixel tags, Internet tags, clear GIFs, or single-pixel GIFs) are electronic images embedded into a Web page. Web Beacons permit Easy Parent, for example, to count Users who have visited those pages or opened an email and for other related website statistics (for example, recording the popularity of certain website content and verifying system and server integrity).
IP Address Logs. Our Site also logs Internet Protocol (IP) addresses, which is a number that identifies a specific device connected to the Internet.

Data Collected by Third-Parties

At times we may provide content or applications on the Easy Parent Services that are served by third-parties, including advertisers, content providers and application providers. This content may include ads, educational applications or other content produced or distributed by third-parties. These third parties may use cookies or other tracking technologies to collect information about you when you use the Easy Web Services. The information they collect may be associated with your personal information or they may collect information, including personal information, about your online activities over time and across different websites and other online services. They may use this information to provide you with interestbased (behavioral) advertising or other targeted content, on other platforms.

To learn more about online behavioral advertising and how to stop websites from placing cookies on your device, you can access materials and information provided by the Digital Advertising Alliance of Canada or the Network Advertising Initiative.

We do not control these third parties’ tracking technologies or how they are used. If you have any questions about an advertisement or other targeted content, you should contact the responsible provider directly. Technology for Responding to Do-Not-Track Signals

Please note that our Site does not use technology that recognizes a “do-not-track” signal from your web browser.

Disclosure of Your Information

We may collect, use, and disclose aggregated information about our Users, and information that does not identify any individual, without restriction.

We may disclose Data that we collect or you provide as described in this Policy, including personal information:

To our subsidiaries and affiliates.
In accordance with applicable law, to a buyer or other successor in the event of a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of Easy Parent’s assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which personal information held by Easy Parent about our customers and users is among the assets transferred.
To contractors, service providers, and other third parties we use to support our business (such as analytics and search engine providers that assist us with improvement and optimization of the Easy Parent Services) and who are contractually obligated to keep personal information confidential, use it only for the purposes for which we disclose it to them, and to process the personal information with the same standards set out in this policy.
To fulfill the purpose for which you provide it.
For any other purpose disclosed by us when you provide the information.
With your consent.

We may also disclose your personal information:

To comply with any court order, law, or legal process, including to respond to any government or regulatory request, in accordance with applicable law.
To enforce or apply the Easy Parent Terms of Use www.easyparentapp.com and other agreements, including for billing and collection purposes.
If we believe disclosure is necessary or appropriate to protect the rights, property, or safety of Easy Parent, our customers, or others.

Transferring Your Data

We may transfer Data that we collect or that you provide as described in this Policy to contractors, service providers (including service providers who host information that is used to operate the Easy Parent Services), and other third parties we use to support our business (such as analytics and search engine providers that assist us with Easy Parent Services improvement and optimization) and who are contractually obligated to use it only for the purposes for which we disclose it to them, and to process the Data with the same standards set out in this Policy. We will use Data for the purposes that we identify to you, or as otherwise set out in this Policy or as required or permitted by law.

Transfer of personal information to service providers outside Canada
In some instances, we may engage service providers who are located outside Canada. As a result, we may process, store and transfer Data in and to a foreign country, with different privacy laws that may or may not be as comprehensive as Canadian law. In these circumstances, the governments, courts, law enforcement, or regulatory agencies of that country may be able to obtain access to Data about you or

your Child through the laws of the foreign country. Whenever we engage a service provider, we require that its privacy and security standards adhere to this Policy and applicable privacy legislation.

By submitting your Data or engaging with the Easy Parent Services, you consent to this transfer, storage, or processing on behalf of you, and your Child (if applicable).

Choices About How We Use and Disclose Your Information

We strive to provide you with choices regarding the personal information you provide to us. We have created mechanisms to provide you with the following control over your information:

Tracking Technologies and Advertising. You can set your browser to refuse all or some browser cookies, or to alert you when cookies are being sent. To learn how you can manage your Flash cookie settings, visit the Flash player settings page on Adobe’s website. If you disable or refuse cookies, please note that some parts of the Site may not be accessible or may not function properly.

Location Information. You can choose whether to allow the App to collect and use real-time information about your device’s location or the Covered Device’s location through the device’s privacy settings. If you block the use of location information on the Covered Device, the Parent App will not be able to track where the Covered Device is located.

Promotional Offers from Easy Parent. If you have opted in to receive certain emails from us but no longer wish to have your email address or contact information used by Easy Parent to promote our own products or services, you can opt-out by following the opt-out instructions provided in the email or by sending us an email stating your request to admin@easyparentapp.com If we have sent you a promotional email, you may unsubscribe by clicking the unsubscribe link we have included in the email.

Targeted Advertising. If you do not want us to use information that we collect or that you provide to us to deliver advertisements according to our advertisers’ target-audience preferences, you can opt out by using the opt out tools created by the Digital Advertising Alliance of Canada, the Network Advertising Initiative or Google Advertising.

We do not control third parties’ collection or use of your information to serve interest-based advertising. However, these third parties may provide you with ways to choose not to have your information collected or used in this way. In addition to the information indicated above under this heading, you can opt-out of several third party ad servers’ and networks’ cookies simultaneously by using opt-out tools created by Google Advertising, the Digital Advertising Alliance of Canada or by the Network Advertising Initiative. You may also opt out of our use of Google Analytics by visiting the Google Analytics opt-out page. Opting out of a network does not mean you will no longer receive online advertising. It does mean that the network from which you opted out will no longer deliver ads tailored to your web preferences and usage patterns.

Data Security

The security of your Data is very important to us. We use physical, electronic, and administrative measures designed to secure your Data from accidental loss and from unauthorized access, use, alteration, and disclosure. We store information you provide to us behind firewalls on secure servers. All information collected and used by third-party payment service providers is subject to their privacy policies. We are not responsible for any third-party transfer, storage, processing, or use of information collected by third-parties.

The safety and security of your information also depends on you. Where we have given you (or where you have chosen) a password for access to certain parts of the Easy Parent Services, you are responsible for keeping this password confidential. We ask you not to share your password with anyone.

Unfortunately, the transmission of information via the Internet is not completely secure. Although we do our best to protect your Data, we cannot guarantee the security of Data transmitted to the Easy Parent Services. Any transmission of Data is at your own risk. We are not responsible for circumvention of any privacy settings or security measures contained on the Site or App.

Data Retention

Except as otherwise permitted or required by applicable law or regulation, we will retain personally identifiable Data for as long as necessary to fulfill the purposes we collected it for, including for the purposes of satisfying any legal, accounting, or reporting requirements. Under some circumstances we may anonymize your Data so that it can no longer be associated with you or your Child. We reserve the right to use such anonymous and de-identified Data for any legitimate business purpose without further notice to you or your Child, and without your consent (on behalf of you, as a User, or on behalf of your Child).

Accessing and Correcting Your Data and Information

It is important that the information we hold about you is accurate and current. Please keep us informed if your personal information changes. By law, you have the right to request access to and to correct personally identifiable Data that we hold about you. We will provide access to your Data, subject to exceptions set out in applicable privacy legislation.

If you want to review, verify or correct your Data or that of your Child’s, you may send us an email at admin@easyparentapp.com to request access to, correct, or delete any Data that you have provided to us, in respect of yourself or your Child. We may not accommodate a request to change information if we believe the change would violate any law or legal requirement, or cause the information to be incorrect.

We may request specific information from you to help us confirm your identity and your right to access, and to provide you with the Data that we hold about you or your Child, or make your requested changes. Applicable law may allow or require us to refuse to provide you with access to some or all of the Data that we hold about you or your Child, or we may have destroyed, erased, or made such Data anonymous in

accordance with our record retention obligations and practices. If we cannot provide you with access to this Data, we will inform you of the reasons why, subject to any legal or regulatory restrictions.

Children’s Privacy

AS A SUBSCRIBING USER, YOU WARRANT THAT YOU HAVE THE APPROPRIATE AUTHORITY TO COLLECT AND USE ANY DATA RELATED TO ANY COVERED DEVICE PAIRED WITH YOUR PARENT ACCOUNT, AND YOU AGREE TO USE SUCH DATA IN ACCORDANCE WITH THIS POLICY, THE EASY PARENT TERMS OF USE AND APPLICABLE LAW. YOU WILL PROTECT THE CONFIDENTIALITY OF ANY ACCESSIBLE DATA AND PREVENT ACCESS BY OR DISCLOSURE TO ANY UNAUTHORIZED THIRD PERSON.

YOU, AS A SUBSCRIBING USER, ARE RESPONSIBLE FOR ANY ILLEGAL USE OF DATA GAINED BY YOU THROUGH YOUR USE OF THE EASY PARENT SERVICES, INCLUDING ANY USE CONTRARY TO APPLICABLE DATA PROTECTION LAWS OR IN VIOLATION OF THIS POLICY OR THE EASY PARENT TERMS OF USE.

YOU, AS A SUBSCRIBING USER, REPRESENT AND WARRANT TO US THAT: (1) YOU COMPLY WITH ALL APPLICABLE LAWS WITH RESPECT TO THE MONITORING AND CONTROL OF DEVICES AND APPLICATIONS OF ANY COVERED DEVICE PAIRED WITH YOUR PARENT ACCOUNT; AND (2) YOU HAVE ALL LEGALLY REQUIRED INFORMED CONSENTS FROM EACH AND EVERY CHILD PAIRED WITH YOUR PARENT ACCOUNT, WHOSE DATA IS SUBMITTED TO US IN THE COURSE OF THE PROVISION OF THE EASY PARENT SERVICES OR COLLECTED AND TRANSMITTED TO US BY THE SITE OR APP.

YOU AGREE TO INDEMNIFY AND HOLD US HARMLESS FROM ALL CLAIMS, DAMAGES AND LOSSES WE MAY SUFFER RELATING TO OR ARISING OUT OF THE COLLECTION OR PROCESSING OF SUCH DATA IN ACCORDANCE WITH THE EASY PARENT TERMS OF USE.

Withdrawing Your Consent

Where you have provided your consent to the collection, use, and transfer of your Data or your Child’s Data, you may have the legal right to withdraw your consent under certain circumstances. To withdraw your consent, if applicable, contact us at admin@easyparentapp.com. Please note that if you withdraw consent we may not be able to provide you with particular services. Please let us know if you have any questions, and we will explain the impact of withdrawing consent to you, to help you with your decision.

If you are a Child who has reached the age of majority in your jurisdiction and wish to withdraw the consent previously provided to us by your parent or legal guardian in respect of the Easy Parent Services, you may also withdraw your consent by contacting us at admin@easyparentapp.com

Parents, please be aware that where your Child reaches the age of majority and chooses to withdraw their consent, we may no longer be able to provide the Easy Parent Services in respect of that individual.

Changes to this Policy

This Policy may change from time to time. Changes we make to this Policy will be posted on this page. If we make material changes to how we treat our Users’ Data, we may notify you through a notice on the Site’s home page and/or through the App. We include the date the Policy was last revised at the bottom of this page. You are responsible for periodically visiting our Site and this Policy to check for any changes. Your continued use of the Easy Parent Services after such notice constitutes your acceptance of such changes.

Acceptance of Easy Parent Terms of Use

These Easy Parent Terms of Use describe the terms by which Easy Parent Inc. (“Easy Parent“, “we“, “us“, “our“), an Alberta corporation, offers to users of its services (“User“, “you“) access to its website www.easyparentapp.com (the “Site”) and the associated mobile software application platform owned and operated by Easy Parent (the “App”). The Site, App, and all services provided by Easy Parent therein including access to all applications, content, and downloads, together, constitute the “Easy Parent Services”.

THESE EASY PARENT TERMS OF USE AND EASY PARENT’S PRIVACY POLICY INCORPORATED HEREIN BY REFERENCE (COLLECTIVELY, THE “AGREEMENT”), SET FORTH THE LEGALLY BINDING TERMS AND CONDITIONS FOR YOUR USE OF THE EASY PARENT SERVICES. IN CONSIDERATION FOR YOUR RIGHT TO ACCESS AND USE THE EASY PARENT SERVICES, THE RECEIPT AND SUFFICIENCY OF WHICH ARE HEREBY ACKNOWLEDGED, YOU AGREE TO THE TERMS AND CONDITIONS SET OUT BELOW.

BY CLICKING “I ACCEPT” AND REGISTERING FOR, AND/OR USING THE EASY PARENT SERVICES IN ANY MANNER, YOU ACCEPT AND AGREE TO BE BOUND AND COMPLY WITH ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE WITH ALL OF THE PROVISIONS OF THIS AGREEMENT, DO NOT ACCESS OR USE THE EASY PARENT SERVICES.

By using the Easy Parent Services, you represent and warrant that you are of the legal age of majority under applicable law to form a binding contract with Easy Parent and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Easy Parent Services.

What is Easy Parent?

The App is a parental control app that provides the subscribing parent (the “Subscribing User”) integrated tools to help control their child’s screen time and online activity. The App includes features which help enable Subscribing Users to promote healthy habits and a safe online environment through:

scheduling and limiting screen time;
blocking specific apps (with the option to unlock them once the child has completed certain tasks);
setting goals and rewards for completing certain tasks;
setting daily recurring reminders for routine tasks such as brushing teeth or getting ready for bed; and
parent-child texting (even if other texting features have been disabled).

The App also allows you to see where your child’s device is located with GPS tracking, subject to the restrictions and limitations set out in this Agreement.

Account Registration and Set Up

The App is available on a subscription basis, as outlined in Section 4 (the “Subscription“). Once subscribed, each Subscribing User account may be paired with an unlimited number of their children’s devices (each a “Covered Device“, and each child who uses the Covered Device being collectively referred to as the “Child“). Through the pairing, the Subscribing User will be able to use the tools through the Site or App to monitor, control and set rewards on the Child Device. By accepting these Easy Parent Terms of Use as described above, you, as a Subscribing User, are accepting such terms on your behalf and on behalf of any Child paired with your account, as their parent or legal guardian.

In order to use the Easy Parent Services, you must subscribe to the Easy Parent Services and create a parent account (the “Parent Account“). You will also need to install the parent version of the App (the “Parent App“) on the Parent Account’s device (the “Parent Device“), and the child version of the App (the “Child App“) on each Covered Device with which you wish to use the Easy Parent Services, in accordance with this Agreement. If you do not install the Parent App and Child App, you will not have full access to the tools and functionality available through the Easy Parent Services.

In order to register a Parent Account, the Subscribing User will need to provide information including, their address, email address, and mobile phone number, and agree to these Easy Parent Terms of Use. All information provided to Easy Parent is done in accordance with our Privacy Policy, available at www.easyparentapp.com, which forms part of this Agreement.

Upon registering the Parent Account, Easy Parent will send a code (the “Access Code“) to the parent’s mobile phone number listed in the Parent Account in order to authenticate the Parent Account. Once both the Parent App and Child App are installed on their respective devices, the Access Code may then be used by the Subscribing User to pair the Parent App and Child App, and to enable the Easy Parent Services to function between the devices.

Subscription & Payment

Basic Subscription. Subscriptions are month-to-month, paid in advance, and automatically renew at the end of each month for the next succeeding month, until you cancel your Subscription through Google Play or the digital distribution service through which you subscribed to the Easy Parent Services. As a Subscriber, you agree to pay the monthly fee provided for on the Easy Parent website (exclusive of Taxes), as updated from time to time, on a month-to-month basis. Payments for Subscriptions are processed through Google Play or the digital distribution service through which you subscribed to the Easy Parent Services.

“Taxes” means any duties, customs fees, levies or taxes (other than income tax) associated with the sale of the Easy Parent Subscription, including any related penalties or interest. You are responsible for any Taxes. You must comply with any and all applicable tax laws, including the reporting and payment of any Taxes arising in connection with your use or the purchase of the Easy Parent Subscription. The reporting and payment of any such applicable Taxes are your responsibility.

Free Trial Period. From time to time, Easy Parent may offer a free trial period. If subscribing under a free trial period, once you register, you will start your free trial, but you will not be charged until after the free trial period expires or terminates. You authorize us to charge your credit card after the free trial period at the applicable rate. During the free trial period, if you decide not to continue with the Easy Parent Services and wish to avoid being charged the Subscription fee, you must cancel the Subscription before the end of the free trial period. Once you cancel your trial, you will immediately lose access to the App and any Subscription privileges unless otherwise specified.

Other Offers. Easy Parent may offer additional promotions or discounts related to Subscriptions from time to time. Please read the details of those offers carefully, as any additional terms presented to you during the signup process will form part of these Terms. Unless specified in writing, all discount offers that require a payment are non-refundable. Any free trial or other promotion must be used within the specified time frame of the trial or promotion. You may be required to have a valid payment method on file in order to initiate a free trial; in this case, if you do not cancel before your free trial period ends, your account will be converted to a paid Subscription and will be charged in accordance with these Terms.

Cancellation of Subscription.

If you terminate your Subscription, you may use your Subscription until the end of the then-current period and your Subscription will not be renewed after that period expires. However, you will not be eligible for a prorated refund of any portion of the Subscription fee paid for the then-current Subscription period, subject to specific cancellation and refund rights in accordance with any relevant legislation.

To cancel your Subscription at any time, you may do so by following the instructions on Google Play or the digital distribution service through which you subscribed to the Easy Parent Services. You may also cancel your Subscription through the Profile section on the App, by clicking “unsubscribe”, and following the steps to unsubscribe. Upon cancellation, your Subscription will terminate at the end of the current billing cycle. Except where required by law, no refunds are provided. Please note that uninstalling the App will not cancel your Subscription.

Security & Use

The security of your personal information is very important to us. We use physical, electronic, and administrative measures designed to secure your personal information from accidental loss and from unauthorized access, use, alteration, and disclosure.

The safety and security of your information also depends on you. Users are responsible for obtaining their own access to the Easy Parent Services. Users are required to ensure that all persons who access the Easy Parent Services through a User’s internet connection are aware of these Easy Parent Terms of Use and comply with them. In order to access the full functionality of the Easy Parent Services, account registration is required, as described in Sections 3 and 4. It is a condition of your use of the Easy Parent Services that all the information you provide Easy Parent is correct, current, and complete.

Unfortunately, the transmission of information via the Internet is not completely secure. Although we do our best to protect your personal information, we cannot guarantee the security of your personal information transmitted to the Easy Parent Services. Any transmission of personal information is at your own risk. We are not responsible for circumvention of any privacy settings or security measures contained on the Site or App.

Your provision of registration information and use of the Easy Parent Services, including any reminders or messages sent using the App’s tools, constitutes your consent to all actions we take with respect to such information consistent with our Privacy Policy, found at www.easyparentapp.com

Any username, password, or any other piece of information chosen by you, or provided to you as part of our security procedures, must be treated as confidential, and you must not disclose it to any other person or entity. You must exercise caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information. You understand and agree that should you be provided with an account, your account is personal to you and you agree not to provide any other person with access to the Easy Parent Services using your username, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. You are responsible for any password misuse or any unauthorized access.

We reserve the right, at any time and from time to time, to disable or terminate your account, any username, password, or other identifier, whether chosen by you or provided by us, in our sole discretion for any or no reason, including any violation of any provision of these Easy Parent Terms of Use. If your Subscription is disabled or terminated, you will not be charged any further Subscription fees unless the Subscription is reactivated.

You are prohibited from attempting to circumvent and from violating the security of the Site or App, including, without limitation: (a) accessing content and data that is not intended for you; (b) attempting to breach or breaching the security and/or authentication measures which are not authorized; (c) restricting, disrupting or disabling service to users, hosts, servers, or networks; (d) illicitly reproducing TCP/IP packet header; (e) disrupting network services and otherwise disrupting Easy Parent’s ability to monitor the Easy Parent Services; (f) using any robot, spider, or other automatic device, process, or means to access the Site or App for any purpose, including monitoring or copying any of the material on the Site or App; (g) introducing any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful; (h) attacking the Easy Parent Services via a denial-of-service attack, distributed denial-of-service attack, flooding, mailbombing, or crashing; and (i) otherwise attempting to interfere with the proper working of the Site or App.

Ownership of Content

Our Content. Except for Your Content (which is discussed below), all materials displayed or otherwise accessible on the Site or App, including, without limitation, text, photographs, images, illustrations, graphics, icons, code and anonymized or aggregated usage statistics and traffic patterns (collectively, “Our Content“) and the selection and arrangement of Our Content on the Site and App are protected by

copyright, pursuant to Canadian copyright laws, international conventions, other copyright laws, and may be protected by trademark. We either own the intellectual property rights, including copyright, or have acquired the necessary rights or licences, in Our Content. Portions of Our Content may have been licensed to us or published on the Site or App by third parties. Any reproduction, modification, publication, transmission, transfer, sale, distribution, display or exploitation of the Site, App or Our Content, whether in whole or in part, without our express written permission, is strictly prohibited. The display of Our Content does not imply that you have been granted a license by us or other entities with respect to it.

Your Content.

You retain ownership in and to materials you submit to us, including, without limitation, text, photographs, or images (“Your Content“), but you agree to grant us a sub-licensable, irrevocable licence to use Your Content, as we see fit, in our sole discretion, for the purpose of providing the Easy Parent Services and in connection with any sale of Easy Parent in whole or in part, including the assets thereof. We reserve the right to disclose Your Content, at any time, as is required to comply with applicable laws, and the right to remove any of Your Content that is in violation of the terms and conditions of this Agreement. You also agree that any rights you assert in and to Your Content will be subject to standards of commercial reasonableness. You represent and agree that you will not submit content to the Easy Parent Services, in violation of the rights of any other person. Your Content (and our use thereof in accordance with this Agreement) shall not knowingly infringe the rights of any third party. You hereby indemnify and hold harmless, Easy Parent, from any and all liability or loss, including reasonable counsel fees, which we suffer in connection with any claim or action by reason of a breach of the foregoing representation and warranty.

Conditions of Use

As a condition of your access and use, you agree that you may use the Easy Parent Services only for lawful purposes and in accordance with this Agreement. Without limiting the foregoing, you warrant and agree that your use of the Easy Parent Services shall not in any manner violate any applicable federal, provincial, local, or international law or regulation including, without limitation, any laws regarding legal rights (including, but not limited to, the rights of privacy of others and child protection rights) or that otherwise may be in conflict with these Easy Parent Terms of Use and our Privacy Policy found at www.easyparentapp.com The Easy Parent App may only be installed on a device which you own, or on a device for which you have received express consent from the owner, for domestic purposes.

You shall not use the Easy Parent Services to stalk or otherwise attempt to stalk, exploit or harm an individual (including minors) in any way. The Easy Parent Services may not be used to monitor any individual who is not your own child.

As a Subscribing User, you may only pair your own child with your Parent Account. You hereby represent and warrant that you are the parent or legal guardian of any Child specified for any Covered Device paired to your Parent Account. If the person whose device will be monitored is of the age of majority in the jurisdiction in which they reside and you are not that person’s legal guardian by reason of disability, you must obtain that person’s consent to monitor and control their activities through the Easy Parent Services. You acknowledge and agree that your indemnity obligations under Section 15 hereof will apply to your use of the Easy Parent Services in violation of this Section 7.

Site Monitoring and Enforcement, Suspension, and Termination

Easy Parent has the right, without provision of notice to:

At all times, take such actions with respect to Your Content deemed necessary or appropriate in our sole discretion, including, without limitation, for violating this Agreement.
Take appropriate legal action, including, without limitation, referral to law enforcement or regulatory authority, or notifying the harmed party of any illegal or unauthorized use of the Easy Parent Services. Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone using the Easy Parent Services.
Terminate or suspend your access to all or part of the Easy Parent Services for any or no reason, including, without limitation, any violation of this Agreement.

YOU WAIVE, INDEMNIFY AND HOLD HARMLESS EASY PARENT AND ITS PARENT, SUBSIDIARIES, AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, CONTRACTORS, LICENSORS, LICENSEES, SUPPLIERS, ASSIGNS AND SUCCESSORS FROM ANY AND ALL CLAIMS RESULTING FROM ANY ACTION TAKEN BY EASY PARENT AND ANY OF THE FOREGOING PARTIES RELATING TO ANY INVESTIGATIONS BY EITHER EASY PARENT OR SUCH PARTIES OR BY LAW ENFORCEMENT AUTHORITIES.

We have no obligation, nor any responsibility to any party to monitor the Site or App or their use, and we no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party, subject to applicable laws.

No Reliance

The content on our Site and App is provided for general information purposes only. It is not intended to amount to information or advice on which you should rely. You must obtain more specific or professional advice before taking, or refraining from, any action or inaction on the basis of the content on the Site or App.

Although we make reasonable efforts to update the information on our Site and App, we make no representations, warranties, or guarantees, whether express or implied, that the content on our Site or App is accurate, complete, or up to date. Your use of the Easy Parent Services is at your own risk and neither Easy Parent nor its parent, subsidiaries, affiliates, and their respective directors, officers, employees, agents, service providers, contractors, licensors, licensees, suppliers, or successors have any responsibility or liability whatsoever for your use of the Easy Parent Services.

Privacy

By submitting your personal information and using the Easy Parent Services, you consent to the collection, use, reproduction, hosting, transmission and disclosure of any User Content in compliance with our Privacy Policy, found at www.easyparentapp.com, as we deem necessary for use of the Easy Parent Services, or for any other purposes that or set out in our Privacy Policy, or required or permitted by law.

Third-Party Websites or Apps

For your convenience, Easy Parent may provide links or pointers to third-party sites or apps through the Easy Parent Services. We make no representations about any other websites or apps that may be accessed from the Easy Parent Services. If you choose to access any such sites or apps, you do so at your own risk. We have no control over the contents of any such third-party sites or apps and accept no responsibility for such sites or apps or for any loss or damage that may arise from your use of them. You are subject to any terms and conditions of such third-party sites or apps.

Geographic Restrictions

Easy Parent is based in Alberta, Canada. The Easy Parent Services are not intended for use in any jurisdiction where their use is not permitted. If you access the Easy Parent Services from outside Canada, you do so at your own risk and you are responsible for compliance with local laws of your jurisdiction.

Disclaimer

EASY PARENT MAKES EVERY REASONABLE EFFORT TO KEEP ITS PLATFORM AVAILABLE, BUG-FREE, AND SAFE, BUT ALL USERS USE IT AT THEIR OWN RISK. EASY PARENT’S GPS GEO-LOCATION SERVICES. GEO-LOCATION SERVICES, BY THEIR NATURE, ARE ONLY AVAILABLE WHEN THE CHILD’S DEVICE IS CONNECTED TO THE INTERNET. GEOLOCATION SERVICES, WHERE AVAILABLE, IDENTIFY ONLY THE LOCATION OF THE CHILD’S DEVICE AND NOT THE CHILD THEMSELVES.
APP-BLOCKING SERVICES. EASY PARENT MAKES NO WARRANTY THAT ANY APP BLOCKING SERVICES WILL SUCCESSFULLY BLOCK THAT CHILD’S ACCESS TO THAT CONTENT OR FUNCTIONALITY OR THAT APP-BLOCKING FEATURES WILL LEAD TO A SAFER DEVICE. YOU SHOULD BE AWARE THAT BLOCKING ACCESS TO CERTAIN COMMUNICATION FEATURES ON THE COVERED DEVICE, WILL BLOCK THOSE FEATURES – EVEN IN THE CASE OF AN EMERGENCY. SHOULD A SITUATION ARISE WHICH REQUIRES THE CHILD TO USE BLOCKED FEATURES (SUCH AS CALLING A FRIEND OR FAMILY MEMBER), AND SUCH SERVICES ARE BLOCKED BY THE SUBSCRIBING USER, EASY PARENT ASSUMES NO RESPONSIBLE FOR ANY SUCH CONSEQUENCES;

WILL BE ACCURATE, RELIABLE, FREE OF VIRUSES OR OTHER HARMFUL CODE, COMPLETE, LEGAL, OR SAFE;
WILL PROVIDE THE CHILD WITH A SAFE ONLINE ENVIRONMENT; or
WILL RESULT IN IMPROVED ONLINE BEHAVIOR OR DEVICE USAGE. EASY PARENT ONLY PROVIDES TOOLSTOASSISTPARENTS; IT CANNOT WARRANT ANY PARTICULAR RESULT.

THE EASY PARENT SERVICES MAY BE SUBJECT TO LIMITATIONS, DELAYS, AND OTHER PROBLEMS INHERENT IN THE USE OF THE INTERNET, MOBILE APPLICATIONS AND ELECTRONIC COMMUNICATIONS. Limitation on Liability

EXCEPT WHERE SUCH EXCLUSIONS ARE PROHIBITED BY LAW, UNDER NO CIRCUMSTANCE WILL EASY PARENT NOR ITS PARENT, SUBSIDIARIES, AFFILIATES OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, CONTRACTORS, LICENSORS, LICENSEES, SUPPLIERS, ASSIGNS OR SUCCESSORS BE LIABLE FOR NEGLIGENCE, GROSS NEGLIGENCE, NEGLIGENT MISREPRESENTATION, FUNDAMENTAL BREACH, DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, INCLUDING ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, BREACH OF PRIVACY, OR OTHERWISE, EVEN IF THE PARTY WAS ALLEGEDLY ADVISED OR HAD REASON TO KNOW, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, OR RELIANCE ON, THE EASY PARENT SERVICES, ANY LINKED WEBSITES OR APPS OR SUCH OTHER THIRD-PARTY WEBSITES OR APPS, NOR ANY CONTENT, MATERIALS, POSTING, OR INFORMATION THEREON EVEN IF THE PARTY WAS ALLEGEDLY ADVISED OR HAD REASON TO KNOW. UNDER NO CIRCUMSTANCES SHALL THE LIABILITY OF EASY PARENT AND ITS PARENT, SUBSIDIARIES, AFFILIATES OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, CONTRACTORS, LICENSORS, LICENSEES, SUPPLIERS, ASSIGNS OR SUCCESSORS TO YOU FOR DAMAGES SUFFERED BY YOU ARISING OUT OF, RELATED TO OR CAUSED BY THE EASY PARENT SERVICES, OR THE USE THEREOF, EXCEED A MAXIMUM AMOUNT EQUAL TO THE AMOUNT ACTUALLY PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE INCIDENT WHICH GIVES RISE TO THE DAMAGES. YOU ACKNOWLEDGE THAT THE FEES PAID BY YOU REFLECT THE ALLOCATION OF RISK SET FORTH IN THIS AGREEMENT AND THAT EASY PARENT WOULD NOT ENTER INTO THIS AGREEMENT WITHOUT THESE LIMITATIONS ON LIABILITY.

Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Easy Parent, its parent, subsidiaries, affiliates, and their respective directors, officers, employees, agents, service providers, contractors, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your breach of these Easy Parent Terms of Use or your use of the Easy Parent Services, including, but not limited to, Your Content, third-party sites, any use of the Site or App’s content, services, and products other than as expressly authorized in this Agreement.

Amendment to Terms

We may revise this Agreement, at any time, by updating this posting. We may provide notice to you of material revisions by means of a general notice on the Site or App. Your continued use of the Easy Parent Services after such revisions are posted will signify your agreement to these revised terms. Therefore, you should visit this page periodically to review this Agreement.

Notifications and Consent to Electronic Communication

When you use the Easy Parent Services or send email to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by email, text messages or by posting notices on the Site or App. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically, satisfy any legal requirement that such communications be in writing and/or signed.

We may contact you to provide you with information and send you service notifications regarding your Subscription, or when required by law. You hereby recognize and consent that such notifications will be effective at the time we post them on our Site, App or send them to you by email. If you do not provide us with accurate information, we cannot assume any liability in the event we are unable to notify you.

Governing Law and Choice of Forum

We are physically located within the Province of Alberta, Canada. The Easy Parent Services, including the Site and App, and this Agreement will be governed by the laws of the Province of Alberta and the laws of Canada applicable therein and shall be treated in all respects as an Alberta contract, without reference to the principles of conflicts of law. In the event of a dispute, you agree to submit to the exclusive jurisdiction of Alberta’s courts.

Waiver

As a User, you agree to waive any right you may have to: (a) a trial by jury; and (b) commence or participate in any class action against Easy Parent related to your use of the Easy Parent Services, the exchange of electronic documents between us or this Agreement and, where, applicable, you also agree to opt out of any class proceedings against us.

Survival

Any provision of this Agreement that must survive to fulfill its essential purpose (whether expressly stated as such or not) and any obligation you have to pay fees incurred before termination will survive the termination of this Agreement.

Entire Agreement

These Easy Parent Terms of Use and the agreements which are expressly referenced in these Terms of Use, including our Privacy Policy, constitute the sole and entire agreement between you and Easy Parent regarding the Easy Parent Services and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, regarding such subject matter.

Miscellaneous

Our failure to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. If any provision of these terms shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these terms and shall not affect the validity and enforceability of any remaining provisions. We may assign this Agreement without restriction.
